The Area Creative Enterprise LLC (ACE LLC) was formed by residents of the Des Moines, Capulin, and Folsom communities as well as the surrounding area. Its purpose is to provide an organization which can act to further the interests of the group in such areas as business, banking, real estate dealings, and storefront operations as may be required to increase the exposure of area artwork to the public.

The focus of the organization is to provide ways and means to present, display, and market artwork and other creative output from area residents. Members and products from outside of the area are also welcome so long as their inclusion serves to further the goals of the organization.

August 17-18, 2004

A bank account has been established at Wells Fargo bank in Raton in the name of Area Creative Enterprise, LLC.  A third prospective member has contributed $60 to the LLC.  At the next meeting, it is hoped that several new members will be voted into the LLC.

The managers have tentatively agreed to change the fee structure as follows: $20 registration fee, $20 per month thereafter.  Those already having contributed money shall have any extra amount applied to monthly fees for the next few months.  This ruling shall be voted upon in the next meeting.

August 16, 2004

The LLC management has voted to open a bank account in the name of Area Creative Enterprise, LLC at Wells Fargo.

July 27, 2004

The LLC has applied for a "Federal Tax ID / Employer Identification Number" (EIN) online.  A provisional number has been assigned - this will be the official number unless some problem is found with the application.

The official registration papers have been received from The New Mexico Public Regulation Commission.

Betty Short and Mike Schoonover have mailed registration papers to the New Mexico Public Regulation Commission to form the company "Area Creative Enterprise, LLC". After receiving the Certificate of Organization, other members will be accepted into the company and new managers will be elected.

It was decided to form an LLC and open a bank account for the group using the name Area Creative Enterprise (ACE). Mike Schoonover volunteered to research and carry out this directive.

Mr. McGinnis offered to rent the bottom floor of the cinderblock two story cafe in Des Moines to ACE for $475 per month to be used as the "Gallery". He later agreed to lower this amount to $400 for an initial period of time. Christina Boyce will be renting the upstairs portion. Mr. McGinnis may build a storage building behind the rental building to house his collection - ACE may help him sell it in return for half of all proceedings.

It was suggested that ACE allow members to join with a startup fee of $60 and a monthly fee thereafter of $20. Members would sign a one year agreement promising to pay the monthly fee during the term of the agreement. Members would be allowed to display their goods in the Gallery for a very minimal percentage of proceeds from the sale of such goods - 1% - 5% of the gross proceeds. Non members would have to pay a $10 fee per month to display goods plus pay the Gallery 35% of the gross proceeds from the sale of such goods.

It was decided that the LLC will have managers to conduct business in the name of the LLC.
